u can convert an mp3 to a wave using winamp any the disk writer plugin, as well as numerous other programs..

but u can not convert an mp3 or wave to a midi

I still stand by my previous response, but i have come across this program called DigitalEar. It allows you to "convert" WAV to MIDI, by picking up notes & pitch and crap. The end result sounds like $hit, but if anyone wants to try it, you can download it from here
